Terms of Service

These Terms of Service ("Terms", "Agreement") govern your access to and use of the ChiroApp platform, software, website, and related services (collectively, the "Service") operated by ChiroApp and its owners, operators, developers, creators, affiliates, successors, and assigns (collectively, "ChiroApp", "we", "us", or "our"). By creating an account, accessing, or using the Service, you ("you", "User", "Subscriber") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Practice Account" means an account created by a chiropractic practice owner or authorized representative. "Staff Account" means an account created at the invitation of a Practice Account holder. "Patient Portal" means the patient-facing portion of the Service. "SMS Credits" means prepaid messaging credits purchased through the Service. "Content" means any data, records, text, files, or information uploaded, stored, or transmitted through the Service.

2. Eligibility and Account Responsibility

You must be at least 18 years old and legally authorized to operate a chiropractic or healthcare practice in your jurisdiction (or authorized by such a person) to create a Practice Account. You are solely responsible for: (a) maintaining the confidentiality of your login credentials; (b) all activity conducted through your account; (c) ensuring that all users you invite comply with these Terms; and (d) the accuracy, legality, and appropriateness of all Content you submit.

3. Subscription and Billing

3.1 Plans and Pricing

ChiroApp offers subscription plans at prices displayed on our website and within the Service. Prices are subject to change with 30 days' advance notice. Your subscription begins with a free trial period (if offered) and automatically converts to a paid subscription unless cancelled before the trial period ends.

3.2 Payment

By subscribing, you authorize ChiroApp to charge your designated payment method on a recurring basis. All fees are quoted in U.S. Dollars. You are responsible for applicable taxes. Failure to pay may result in suspension or termination of your account.

3.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, your account will remain accessible until the end of the current billing period. After cancellation, your data will be retained for 30 calendar days, during which you may reactivate or export your data. After the 30-day retention period, all account data will be permanently and irreversibly deleted.

3.4 Refund Policy

Subscription fees are non-refundable except where required by applicable law. No partial refunds are issued for unused portions of a billing period.

4. SMS Messaging and Prepaid Credits

NON-REFUNDABLE POLICY: All SMS credits and prepaid wallet deposits are final, non-refundable, non-transferable, and carry no cash value. Credits expire immediately upon account cancellation or termination. By purchasing SMS credits, you acknowledge and agree to this policy.

4.1 SMS Service

ChiroApp provides SMS messaging capabilities through a prepaid wallet system. To send SMS messages, you must activate SMS messaging and maintain a positive wallet balance. Messages are charged on a per-segment basis at rates displayed within the Service. Rates are subject to change with or without notice based on underlying carrier and infrastructure costs.

4.2 No Guarantee of Delivery

SMS messages are transmitted through third-party carriers and telecommunications infrastructure. ChiroApp does not guarantee the delivery, timing, or receipt of any SMS message. You acknowledge that message delivery depends on factors outside of ChiroApp's control, including carrier availability, recipient device status, and network conditions.

4.3 Compliance

You are solely responsible for complying with all applicable laws regarding SMS and electronic communications, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any state or local regulations. You must obtain proper consent before sending messages and honor all opt-out requests. ChiroApp is not responsible for your failure to comply with these laws.

4.4 Auto-Reload

If enabled, the auto-reload feature will automatically add funds to your SMS wallet when the balance falls below a threshold you configure. By enabling auto-reload, you authorize ChiroApp to charge your payment method automatically. You may disable auto-reload at any time. Auto-reload deposits are also non-refundable.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful, fraudulent, or harmful purpose; (b) transmit spam, unsolicited communications, or messages in violation of anti-spam laws; (c) attempt to access accounts, systems, or networks without authorization; (d) reverse-engineer, decompile, or create derivative works from the Service; (e) use the Service to transmit malware, viruses, or harmful code; (f) impersonate any person or entity; (g) interfere with or disrupt the Service or its infrastructure; (h) use the Service in any manner that could damage, disable, overburden, or impair ChiroApp's systems; or (i) violate any applicable local, state, national, or international law or regulation.

6. Intellectual Property

The Service, including all software, code, design, text, graphics, logos, trademarks, and documentation, is the exclusive property of ChiroApp and its licensors and is protected by copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended purpose during your active subscription. You retain ownership of your Content, but grant ChiroApp a limited license to store, process, and display your Content solely for the purpose of providing the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference. For healthcare practices handling Protected Health Information (PHI), the terms of the Business Associate Agreement (BAA) executed at signup also apply. You are solely responsible for the accuracy, legality, and HIPAA compliance of the data you store in ChiroApp. ChiroApp acts as a Business Associate under HIPAA and will maintain appropriate safeguards, but you remain the Covered Entity responsible for your obligations under HIPAA.

8. Third-Party Services

The Service may integrate with third-party services including, but not limited to, Twilio (SMS), payment processors, Google services, and email providers. ChiroApp is not responsible for the availability, performance, security, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to the third party's own terms and policies.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ChiroApp does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) any defects will be corrected; (c) the Service or its servers are free of viruses or harmful components; or (d) the Service will meet your specific requirements or produce any particular results. You use the Service at your sole risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHIROAPP AND ITS OWNERS, OPERATORS, DEVELOPERS, CREATORS, EMPLOYEES, AGENTS, OFFICERS, DIRECTORS, CONTRACTORS, AFFILIATES, SUBSIDIARIES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, "CHIROAPP PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF CHIROAPP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE CHIROAPP PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT YOU PAID TO CHIROAPP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above apply to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless the ChiroApp Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including HIPAA, TCPA, or CAN-SPAM; (d) your Content; (e) your SMS messaging activities; or (f) any dispute between you and a third party, including your patients, clients, or staff.

12. Termination

ChiroApp may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, at our sole discretion. Grounds for termination include, but are not limited to: violation of these Terms, non-payment, fraudulent activity, abuse of the SMS system, or conduct that ChiroApp determines is harmful to other users or the Service. Upon termination: (a) your license to use the Service ceases immediately; (b) you remain liable for all charges incurred; (c) any remaining SMS credits are immediately forfeited; and (d) data retention policies in Section 3.3 apply unless termination was for cause, in which case ChiroApp may delete data immediately.

13. Modifications to Terms

ChiroApp reserves the right to modify these Terms at any time. Material changes will be communicated via email or through a notice within the Service at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in [Your County, Your State]. You consent to the personal jurisdiction of such courts and waive any objection to venue.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and BAA, constitute the entire agreement between you and ChiroApp regarding the Service. Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. Waiver: ChiroApp's failure to enforce any right or provision shall not constitute a waiver. Assignment: You may not assign or transfer your rights under these Terms. ChiroApp may assign its rights without restriction. Force Majeure: ChiroApp shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, acts of government, pandemics, internet or power failures, or third-party service disruptions.
